By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Business-to-Business Services Only

Soho Export provides business-to-business (B2B) sourcing and export brokerage services exclusively.

Our Services are intended for:

• Companies
• Professional buyers
• Dealerships
• Import/export businesses
• Fleet operators
• Commercial resellers

We do not provide consumer retail sales or services to individual end-users purchasing goods for personal use.

2. Scope of Services

Soho Export acts as an independent broker and sourcing partner, assisting clients with:

• Identifying and sourcing vehicles, equipment, vessels, and related assets in the United States
• Coordinating inspections and verification (when requested)
• Facilitating communication with third-party sellers
• Assisting with export documentation and logistics coordination

We do not manufacture, own, or guarantee the assets sourced unless explicitly stated in writing.

3. No Sale of Goods by Soho Export

Unless expressly agreed in writing:

• Soho Export does not sell goods directly
• Transactions are completed between the client and third-party sellers
• We do not take title to assets

Our role is limited to brokerage, coordination, and facilitation.

4. Client Responsibilities

Clients agree to:

• Provide accurate and complete business and transaction information
• Conduct their own due diligence where appropriate
• Comply with all applicable import, customs, tax, and regulatory requirements in their destination country
• Ensure legal eligibility to import sourced assets

Soho Export is not responsible for destination-country regulations, duties, taxes, or restrictions.

5. Pricing, Fees & Payments

Brokerage fees, service charges, and payment structures are agreed case by case and may depend on:

• Asset type
• Transaction size
• Seller requirements
• Destination country

Payments may be made:

• Directly to verified third-party sellers
• Through escrow services (where applicable)
• Via bank wire or other agreed methods

Soho Export does not guarantee seller acceptance of any specific payment method.

6. Inspections & Asset Condition

Any inspections or condition reports:

• Are coordinated through third parties
• Are provided for informational purposes only
• Do not constitute warranties or guarantees

All assets are sourced “as-is, where-is” unless otherwise specified by the seller.

7. Shipping & Export Coordination

We may assist with shipping and export coordination; however:

• Shipping timelines are estimates only
• Delays may occur due to port congestion, customs, weather, or regulatory factors
• Risk of loss or damage during transport is governed by the shipping provider’s terms

Clients are responsible for arranging insurance unless otherwise agreed.

8. No Guarantees

Soho Export does not guarantee:

• Availability of specific assets
• Pricing outcomes
• Delivery timelines
• Regulatory approvals in destination countries

All services are provided on a best-efforts basis.

9. Limitation of Liability

To the maximum extent permitted by law:

• Soho Export shall not be liable for indirect, incidental, or consequential damages
• Our total liability arising from any engagement shall not exceed the fees paid to us for the specific service giving rise to the claim

10. Indemnification

You agree to indemnify and hold harmless Soho Export, its officers, agents, and affiliates from any claims, losses, or liabilities arising from:

• Your use of the Services
• Misrepresentation or misuse of sourced assets
• Violations of applicable laws or regulations

11. Intellectual Property

All website content, branding, text, graphics, and materials are the property of Soho Export and may not be used without prior written consent.

12. Confidentiality

All non-public business information exchanged between the parties shall be treated as confidential unless disclosure is required by law or consented to in writing.

13. Termination

We reserve the right to suspend or terminate access to our Services at any time if:

• These Terms are violated
• We determine a transaction presents legal, compliance, or reputational risk

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Florida, USA.

15. Changes to These Terms
